Terms of use
Last updated: October 18, 2026
Welcome to Sherlock Searches. These Terms of Use ("Terms") govern your access to and use of the website at sherlocksearches.com (the "Website") and of the Sherlock Searches application and services (the "Platform" or "Services"), which are developed, operated and marketed by Argonaut Fleet, Inc. ("Argonaut," "we," "us," or "our"). By creating an account, by using the Website or the Platform, or by clicking to accept these Terms where presented, you agree to be bound by them and by our Privacy notice. If you do not agree, do not use the Website or the Platform. A Spanish-language version (Términos y condiciones) is available for convenience; in case of discrepancy, this English version prevails.
1. Who we are
Argonaut Fleet, Inc. is a corporation organized under the laws of the State of Delaware, United States. Prometeo Legal, S.A.P.I. de C.V. is Argonaut's collection agent in Mexico and, under the license and mandate granted to it by Argonaut, is authorized to collect, in Argonaut's name, the consideration arising from the use of the Platform and to issue the corresponding tax invoices.
2. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent version, which is published on this page. Your continued use of the Website or the Platform after changes take effect constitutes acceptance of the revised Terms. Changes do not affect credits already purchased.
3. Eligibility, authority and business use
You represent that you are at least 18 years old and able to form a binding contract. The Platform is intended for businesses and professional users. If you use it on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
4. Your account
To use the Platform you must create an account and sign in with Google, Microsoft or a code sent to your email. Access is personal. You are responsible for keeping control of your account and for all activity carried out through it, and you must notify us promptly of any unauthorized use. Your account keeps the history of your investigations, with their reports and certificates, and the history of your credits and payments.
5. The Services
The Platform gathers information from publicly accessible sources and official registries based on the RFC (Mexican tax ID) you enter, and presents it in a report with a risk level, a Risk analysis and a sealed, verifiable certificate. The report can be downloaded as a PDF file and, separately, the search data can be downloaded in CSV format. You may also request a litigation search and the corporate structure, which are added to the report in approximately 24 hours, subject to the availability of the sources.
The information may support, among other purposes, beneficial ownership files, customer and supplier identification and due diligence (KYC) files and Mexican tax substance files. Building those files and complying with the related obligations are your responsibility.
6. Informational purposes only; no legal, tax or professional advice
The Website, the reports, the risk level, the Risk analysis and any other information or output made available through the Services are provided for general informational and decision-support purposes only and do not constitute legal, tax, accounting, regulatory or other professional advice. Argonaut is a software provider. It is not a law firm, an accounting firm or a licensed advisor, and your use of the Services does not create any attorney-client, advisor-client or fiduciary relationship. In particular:
- The results reflect what the sources searched publish as of the date and time of each search. Argonaut does not certify the accuracy, completeness or currency of that information, which may change at any time.
- The Risk analysis is not an audit, does not verify the substance of transactions and does not replace the opinion of a qualified professional.
- Name matches may correspond to namesakes and must be confirmed before any decision is made.
- Some sources may not respond at the time of a search; the report indicates when this happens.
You should not act, or refrain from acting, on the basis of any output without obtaining advice from a qualified professional licensed in the relevant jurisdiction. You are solely responsible for your own decisions.
7. Not a consumer reporting agency
Argonaut is not a "consumer reporting agency," and the reports are not "consumer reports," as those terms are defined in the U.S. Fair Credit Reporting Act ("FCRA"). You may not use the Services or any report, in whole or in part, as a factor in determining any individual's eligibility for credit, insurance, employment, housing or any other purpose covered by the FCRA or similar laws.
8. AI-generated content
Certain features use artificial intelligence, including third-party large language models, to draft the Risk analysis, read documents and translate content. AI outputs can be incomplete, inaccurate or otherwise wrong and must be independently reviewed by a qualified person before any reliance or action. Argonaut does not warrant the accuracy, completeness or fitness of AI outputs. Where the EU Artificial Intelligence Act (Regulation (EU) 2024/1689) applies, AI-generated content is provided subject to its transparency requirements. The disclaimers and limitations in these Terms apply fully to AI outputs.
9. Acceptable use
You agree to use the Services only for lawful identification, verification, compliance and risk-prevention purposes. You agree not to, and not to attempt to:
- use the Services in violation of any applicable law, including data protection, export-control and sanctions laws;
- use the Services or any report to harass, stalk, discriminate against or unlawfully harm any person;
- resell, sublicense, publish or massively redistribute reports or their content, or use them to build, train or improve a competing product or service;
- scrape, frame, mirror or use bots, crawlers or other automated means to access or copy the Website or the Platform;
- access data or accounts not intended for you, probe or test the vulnerability of any system, or breach or circumvent security, authentication or technical limits;
- interfere with the integrity or performance of the Services or introduce viruses or other harmful code;
- reverse engineer, decompile or disassemble any part of the Platform, except to the extent that restriction is prohibited by law;
- impersonate any person or misrepresent your affiliation; or
- alter a report or certificate, or present it in a false or misleading manner.
We may suspend accounts, remove content or decline service to anyone we reasonably believe has violated these Terms.
10. Personal data in reports
Reports may contain personal data about the persons investigated. When you obtain a report, you become independently responsible for your use of that data and must process it in accordance with the laws that apply to you, including, where applicable, the LFPDPPP and U.S. state privacy laws. Our handling of personal data is described in the Privacy notice.
11. Credits, prices and payments
- The Services are paid with credits. Each investigation uses one investigation credit. The litigation search and the corporate structure each use one credit of their own type. Reopening an investigation of the same RFC carried out in the previous 7 days does not use credits.
- Package prices, the currency and the applicable taxes are shown on the Platform before each purchase.
- Payments are collected by Prometeo Legal, S.A.P.I. de C.V., in Argonaut's name, and processed through a third-party payment processor.
- Unless a validity period is shown at the time of purchase, credits remain available while your account is active.
- Credits are not redeemable for cash. If a requested service cannot be provided, the credit is returned to your account.
12. Certificates
Each finished version of a report is sealed with a SHA-256 digital fingerprint and an Ed25519 electronic signature issued by Argonaut, with a reference number and a verification code, and can be verified at sherlocksearches.com/verificar or through its QR code. The certificate attests to which sources were searched, when and with what result, and that the document has not been altered since it was issued. It does not certify the accuracy of the information from the sources, and it is not a notarial certification, an advanced electronic signature or a certificate issued by an accredited certification service provider. Anyone who holds a certificate's reference number and verification code can view the certified report and the name and company of the user who requested it.
13. License and intellectual property
Subject to these Terms, Argonaut grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and the Platform for your internal business purposes. You may download the reports and data you obtain, include them in your files and share them with those involved in the related decision or review. The Website, the Platform and their content, including software, design, the "Sherlock Searches" name and logos, are owned by or licensed to Argonaut and are protected by copyright, trademark and other laws. All rights not expressly granted are reserved. If you send us suggestions or other feedback, you grant Argonaut a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.
14. Third-party sources and services
The Services rely on, and reports may link to, third-party sources and services that we do not control, such as official registries and the sanctions lists of the U.S. government. We are not responsible for their content, availability, accuracy or practices.
15. Electronic communications
You consent to receive communications from us electronically, and you agree that electronic communications, notices and disclosures satisfy any legal requirement that such communications be in writing. Notices we send electronically are deemed given when transmitted.
16. Disclaimer of warranties
THE WEBSITE, THE PLATFORM, THE REPORTS AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. ARGONAUT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY INFORMATION OR OUTPUT IS ACCURATE, COMPLETE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARGONAUT AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, EMPLOYEES, AGENTS AND LICENSORS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR FOR DECISIONS MADE BASED ON THE REPORTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. ARGONAUT'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE CREDITS USED IN THE SERVICE GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
18. Indemnification
You agree to indemnify and hold harmless Argonaut and its affiliates from any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of your use of the Services or the reports, your violation of these Terms, or your violation of any law or the rights of a third party.
19. Dispute resolution; binding arbitration; governing law
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
- Informal resolution first. Before starting an arbitration, you agree to send written notice describing the dispute to Cookie settings · contact@sherlocksearches.com and to allow at least thirty (30) days for us to resolve it. This notice is a condition to commencing arbitration.
- Binding arbitration. Any dispute, claim or controversy arising out of or relating to the Website, the Services or these Terms that is not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, before a single arbitrator, in the English language, seated in the State of Delaware (hearings may be held remotely). Judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver. All disputes must be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding.
- Exceptions. Either party may bring an individual claim in small-claims court for qualifying disputes, and may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or to address unauthorized access to or misuse of the Services.
- Opt-out. You may opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by emailing contact@sherlocksearches.com with your name and a clear statement that you decline to arbitrate. Opting out does not affect any other provision of these Terms.
- Governing law. These Terms, and any dispute arising out of or relating to them, the Website or the Services, are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules, and, to the extent applicable, the U.S. Federal Arbitration Act. For any matter not subject to arbitration, the state and federal courts located in Delaware have exclusive jurisdiction, except where applicable law requires otherwise.
20. Export controls and sanctions
You represent that you are not located in a country subject to comprehensive sanctions, that you are not a person with whom dealings are prohibited under applicable export-control or economic-sanctions laws, and that you will not use the Services in violation of those laws.
21. Suspension and termination
We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms or if required by law. You may stop using the Services and request the closure of your account at any time.
22. General
These Terms, together with the Privacy notice, are the entire agreement between you and Argonaut regarding the Website and the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates third-party beneficiary rights. Provisions that by their nature should survive termination will survive. You must bring any claim relating to the Services within one (1) year after it arises, except where applicable law prohibits such a limitation.
23. Accessibility
We strive to make the Website and the Platform accessible. If you have difficulty accessing any part of them, please contact us so we can assist.
